1. Agreement
These Terms of Service (“Terms”) govern your use of websites, products, and services provided by NorBot Systems Inc. (“NorBot Systems,” “we,” “us,” or “our”), a corporation incorporated under the laws of Ontario, Canada. By accessing or using our services, you agree to be bound by these Terms.
2. Services
NorBot Systems provides custom AI operating system implementation, readiness assessment, managed AI workflow services, and related software products. Individual engagements may include strategy work, workflow analysis, branded demos, custom implementation, support, and product access.
Specific deliverables, fees, payment terms, credits, acceptance criteria, and support obligations are defined in the applicable statement of work, engagement letter, master services agreement, service order form, data processing addendum, or other written agreement accepted by the client.
3. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose or in violation of applicable regulations
- Attempt to gain unauthorised access to our systems or other users’ accounts
- Interfere with or disrupt the integrity or performance of our services
- Reproduce, duplicate, copy, sell, or exploit any portion of our services without express written permission
- Use our services to send unsolicited commercial communications in violation of Canada’s Anti-Spam Legislation (CASL)
4. Intellectual Property
All content, software, and technology comprising our services are the property of NorBot Systems Inc. or its licensors. You retain ownership of any content you provide through our services (including project photos, business information, and communications).
We grant you a limited, non-exclusive, non-transferable licence to use our services in accordance with these Terms and any applicable service agreement.
5. AI-Generated Content
Our services may use artificial intelligence to generate drafts, summaries, workflow recommendations, analyses, visuals, or communications. AI-generated content is provided as a starting point and must be reviewed by qualified professionals before being relied upon, sent externally, or used in regulated work. NorBot Systems does not guarantee the accuracy of AI-generated content unless a specific written agreement states otherwise.
6. Limitation of Liability
To the maximum extent permitted by law, NorBot Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to your use of our services.
Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
7. Termination
Either party may terminate the service relationship in accordance with the terms of the applicable service agreement. We reserve the right to suspend or terminate access to our services for violation of these Terms, with reasonable notice where practicable.
8. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
9. Changes to These Terms
We may update these Terms from time to time. We will notify active clients of material changes by email at least thirty (30) days before they take effect. Your continued use of our services after changes become effective constitutes acceptance of the updated Terms.
